Terms of Service
Last updated: September 12, 2026 ยท Version 1.0
These Terms of Service ("Terms") are a legal agreement between you ("you," "your," or the "Account Holder") and Lewis Scrivens, an individual based in Italy, operating as Closrflow ("Closrflow," "we," "us," or "our"), governing your access to and use of the Closrflow CRM platform (the "Service"). By checking the acceptance box during account creation, or by accessing or using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, do not create an account or use the Service.
1. Description of Service
Closrflow is a customer relationship management (CRM) software tool for real estate wholesalers and similar businesses. The Service provides tools to organize leads, contacts, and deals, and to send calls and text messages using your own connected third-party telephony account (e.g., Twilio) and phone number(s). Closrflow is a software tool only. We do not place calls or send messages on our own behalf, do not select who you contact, and do not review, approve, verify, or certify the content, timing, recipients, or legality of any communication you choose to send through the Service.
1.1 Intended use. The Service is designed for individual, relationship-based follow-up with leads, buyers, and contacts you are actively working with in the course of a specific transaction โ not for uploading bulk contact lists or sending unsolicited mass marketing messages to large numbers of recipients with whom you have no prior relationship or context. Consistent with this intended use, the Service does not provide a bulk contact-list import or mass-upload feature. Adding large numbers of contacts for the purpose of working around this limitation, or using the Service to contact people you have no legitimate relationship or prior contact with, is outside the intended and permitted use of the Service, is a breach of these Terms, and substantially increases your own compliance risk under Section 3 below.
2. Account Responsibilities
You are responsible for all activity that occurs under your account, including activity by any user you invite or provide access to. You must provide accurate registration information and keep your login credentials confidential. You are responsible for configuring, maintaining, and complying with the terms of your own third-party telephony provider (e.g., Twilio) account used with the Service.
3. Communications & Legal Compliance
This section is important. Please read it carefully. As described in Section 1.1, the Service is built for warm, relationship-based outreach to your own leads and contacts, not mass unsolicited marketing โ using it otherwise significantly increases the risk described below, and it is entirely your risk to bear.
3.1 You are solely responsible for compliance. You, and not Closrflow, are solely responsible for ensuring that every call, text message, and other communication you send or cause to be sent through the Service complies with all applicable federal, state, and local laws and regulations, including without limitation the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, state telemarketing and "mini-TCPA" statutes, the Do-Not-Call Registry and any internal do-not-call list requirements, and any state-specific restrictions on calling/texting hours or public holidays.
3.2 Consent and recipient lists are your responsibility. You represent and warrant that, before contacting any person through the Service, you have obtained whatever consent is legally required for that contact, that your recipient lists exclude anyone who has opted out or is on an applicable do-not-call list, and that you will immediately honor any opt-out, revocation of consent, or stop request you receive, through any channel, from any recipient.
3.3 What the Service does and does not do. The Service includes a feature that detects common opt-out keywords (such as "STOP") in inbound text replies and suppresses future messages to that number through the Service. This feature is provided as a convenience and a backstop, not as a certification or guarantee of legal compliance. It does not detect every form of an opt-out or revocation request (for example, a spoken request during a call, or a differently worded text), does not verify that a recipient consented in the first place, and does not enforce calling-hour or public-holiday restrictions, which vary by state and which you are responsible for observing on your own. Any recommendations, tips, or notices displayed within the Service regarding calling hours, opt-out language, or best practices are provided for general informational convenience only, do not constitute legal advice, and do not relieve you of your own compliance obligations.
3.4 No legal advice. Closrflow is not a law firm and does not provide legal advice. Any information provided by us about TCPA, do-not-call rules, or other legal topics is general in nature and should not be relied upon as legal advice. You should consult your own attorney regarding your specific compliance obligations before conducting any calling or texting campaign.
4. Indemnification
You agree to indemnify, defend, and hold harmless Closrflow, its owners, officers, employees, and contractors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service to send calls, text messages, or other communications; (b) your breach of Section 3 (Communications & Legal Compliance) or any other provision of these Terms; (c) your violation of any applicable law or regulation; or (d) any claim brought by a third party (including a recipient of your communications) arising from content you sent, recipients you selected, or consent you did or did not obtain.
5. Release of Claims
To the fullest extent permitted by applicable law, you release and forever discharge Closrflow from any and all claims, demands, and causes of action arising out of or related to your own use of the Service to send communications, including any claim that Closrflow is liable to you as a result of a claim brought against you by a third party. This release does not apply to, and nothing in these Terms limits, Closrflow's liability for its own gross negligence, willful misconduct, or fraud, or any liability that cannot be waived under applicable law. This release is between you and Closrflow only; it does not affect the rights of any third party (including anyone you contact through the Service) to bring their own claims against you or against Closrflow.
6. Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Closrflow does not warrant that the Service will be uninterrupted, error-free, or secure, or that it will detect or prevent every possible compliance issue.
7. Limitation of Liability
To the fullest extent permitted by applicable law, Closrflow's total liability to you for any claim arising out of or related to these Terms or the Service will not exceed the total fees you paid to Closrflow in the twelve (12) months preceding the claim. In no event will Closrflow be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including statutory damages under the TCPA or similar laws, even if advised of the possibility of such damages.
8. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, including if we reasonably believe you are using the Service in violation of these Terms or applicable law. You may cancel your account at any time through the Service or by contacting us.
9. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify account holders (for example, by displaying a notice in the Service) and update the "Last updated" date above. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
10. Governing Law
These Terms are governed by the laws of Italy, without regard to its conflict-of-laws principles, and any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts of Rome, Italy.
